Terms of Service
These Terms govern services purchased from Alterwaves. They are written to be readable, but they are a binding agreement. If you have questions before purchasing, email [email protected].
1. Agreement to these Terms
By engaging Alterwaves, requesting a quote, or paying a deposit or invoice, you agree to these Terms of Service (the “Terms”) on behalf of yourself or the organization you represent (“you” or the “Client”). If you do not agree, do not purchase our services.
2. Who we are
“Alterwaves” (“we,” “us,” or “our”) is a studio providing custom WordPress plugin development and implementation services. Alterwaves is operated by Alterwaves LLC, located at 17350 State Hwy 249, Ste 220 #25620, Houston, Texas 77064, USA. You can reach us at [email protected].
3. Services we provide
We design, develop, implement, and maintain custom WordPress plugins and related functionality, including bespoke features, custom post types and admin workflows, Gutenberg blocks, WooCommerce extensions, third-party and API integrations, and audits or rescue work on existing plugins. The exact services for your engagement are defined in the written quote or specification you approve.
4. Quotes, scope, and project approval
Project work begins with a written quote or specification that describes the scope, deliverables, timeline, and price. Your price is the amount stated in your approved quote.
Work outside the approved scope (“change requests”) may require an additional quote and may affect the timeline. We will not start additional work that changes the price without your approval.
5. Fees, payment, and currency
- Currency. All prices and invoices are in United States Dollars (USD) unless your quote states otherwise.
- Project payments. Fixed-scope projects are typically billed as a deposit to begin and the remaining balance on delivery, as set out in your quote. We begin work once the deposit is received and the specification is approved.
- Payment processing. Payments are processed securely by Stripe. We do not receive or store your full card details. Your card or bank statement will show ALTERWAVES.
- Late or failed payments. Delivery and ongoing work may be paused if an invoice is overdue. Final deliverables and the transfer of code ownership are contingent on full payment (see section 8).
- Taxes. Prices exclude any applicable taxes, which are your responsibility unless stated otherwise.
6. Care & Maintenance subscriptions
Our Care & Maintenance plan is a recurring subscription. By subscribing you authorize Alterwaves, through Stripe, to charge your payment method on a recurring basis. Specifically:
- The plan is billed monthly in advance at the price agreed in your quote, and renews automatically each month until cancelled.
- You may cancel at any time. Cancellation stops future renewals and takes effect at the end of the current paid month. The current month is not prorated or refunded unless required by law.
- We will give you reasonable advance notice of any change to the recurring price, and you may cancel before the change takes effect.
- You will receive a receipt for each charge. To cancel or change a plan, email [email protected].
7. Refunds, cancellation, and delivery
How and when work is delivered, and our refund and cancellation terms, are described in full in our Refund & Delivery Policy, which forms part of these Terms.
8. Ownership and intellectual property
- Your code. Upon receipt of full payment for a project, the custom plugin code we create specifically for you is assigned to you. You may use, modify, and host it without restriction.
- GPL. Because WordPress is licensed under the GPL, plugin code that derives from WordPress is delivered under GPL-compatible terms. There are no license keys and no requirement to keep us engaged for the software to function.
- Pre-existing materials. We may use our own pre-existing tools, libraries, and general know-how. These remain ours, and we grant you a perpetual, non-exclusive license to use them as part of your deliverable. We retain the right to reuse general skills and non-confidential techniques.
- Third-party components. Any third-party or open-source components are provided under their own licenses.
- Portfolio. Unless you ask us in writing not to, we may describe the general nature of the work in our portfolio. We will not disclose your confidential information.
9. Your responsibilities
- Provide timely access to the systems, accounts, content, and information we need (for example, staging access, API credentials, and approvals).
- Maintain current backups of your website. We take care with your environment, but you are responsible for your own backups and disaster recovery.
- Review deliverables and provide feedback within the timeframes set out in your quote, so the timeline can be met.
10. Warranties and disclaimers
We warrant that delivered work will materially conform to the approved specification and include a post-launch bug-fix window on the delivered scope (30 days for a single plugin, 45 days for a larger build, unless your quote states otherwise). We will fix qualifying defects reported within that window at no additional cost.
Beyond that warranty and any active Care plan, services and deliverables are provided “as is.” We do not warrant that software will be uninterrupted or error-free, or remain compatible indefinitely as WordPress, PHP, themes, or third-party services change.
11. Limitation of liability
To the maximum extent permitted by law, Alterwaves will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to an engagement will not exceed the amount you paid us for that engagement in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Term and termination
These Terms apply for the duration of your engagement. Either party may terminate a project for material breach that is not cured within a reasonable period after written notice. On termination, you will pay for all work performed up to the termination date, as described in the Refund & Delivery Policy. Care subscriptions end as described in section 6.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. The parties will attempt to resolve disputes in good faith before pursuing formal proceedings, which will take place in the state or federal courts located in Austin, Texas.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the current version. Material changes will not retroactively alter the terms of a project already underway; the version in effect when you approved your quote governs that project.
